5. Payment Terms

5.1 Pricing and Charges

All prices for food items, beverages, and other products displayed on the Site are listed in United States Dollars (USD) and are subject to change without notice. Prices displayed do not include applicable sales taxes, delivery fees, service charges, or gratuities, which will be calculated and displayed at checkout prior to order confirmation.

6. Disclaimers and "As-Is" Basis

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL SERVICES, CONTENT, INFORMATION, AND MATERIALS PROVIDED BY MOD PIZZA ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, INCLUDING BUT NOT LIMITED TO THE LAWS OF THE UNITED STATES, MOD PIZZA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
  • DAMAGES ARISING FROM YOUR INABILITY TO ACCESS OR USE THE SITE OR SERVICES;
  • DAMAGES ARISING FROM ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
  • DAMAGES ARISING FROM THE CONDUCT OF ANY THIRD PARTY IN CONNECTION WITH THE SITE OR SERVICES;
  • DAMAGES ARISING FROM FOOD ALLERGIC REACTIONS, DIETARY SENSITIVITIES, OR FOOD-BORNE ILLNESS WHERE REASONABLE ALLERGEN DISCLOSURES HAVE BEEN PROVIDED.

IN NO EVENT SHALL THE TOTAL CUMULATIVE LIABILITY OF MOD PIZZA TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE OR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO MOD PIZZA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND WHETHER OR NOT MOD PIZZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU IN FULL.


8. Indemnification

You agree to indemnify, defend, and hold harmless Mod Pizza and its respective officers, directors, shareholders, employees, agents, affiliates, licensors, service providers, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • Your use of or access to the Site or our services;
  • Your violation of any provision of these Terms;
  • Your violation of any applicable federal, state, or local law, regulation, or ordinance;
  • Your violation of any third-party rights, including intellectual property rights, privacy rights, or proprietary rights;
  • Any content you submit, post, or transmit through or in connection with the Site;
  • Your negligence or willful misconduct;
  • Any dispute between you and any other user of the Site or services.

Mod Pizza reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such case, you agree to cooperate fully with Mod Pizza in asserting any available defenses. You shall not settle any claim covered by this indemnification provision without the prior written consent of Mod Pizza.


9. Governing Law and Jurisdiction

These Terms of Service and any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or our services (whether in contract, tort, statute, or otherwise) shall be governed by and construed in accordance with the laws of the United States of America and the applicable state laws of the state in which your transaction or dispute arises, without regard to its conflict of law provisions.

To the extent that any dispute is not subject to arbitration as described in Section 10 below, you irrevocably submit to the exclusive personal jurisdiction of the federal and state courts located in the United States for the purpose of litigating any such dispute. You hereby waive any objection to the exercise of jurisdiction over you by such courts and to the venue of such courts.

10. Dispute Resolution and Arbitration

10.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute informally by contacting Mod Pizza at [email protected] and providing a written description of your dispute. We will make reasonable efforts to resolve your concern within thirty (30) calendar days of receipt. You agree not to initiate formal arbitration or litigation proceedings during this thirty (30) day informal resolution period.

10.2 Binding Arbitration

If informal resolution is unsuccessful, you and Mod Pizza agree that any dispute, claim, or controversy arising out of or relating to these Terms, or the breach, termination, enforcement, interpretation, or validity thereof, or your use of the Site or services, shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules then in effect, except as modified by this Section.

The arbitration shall be conducted in English in the United States. The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement. The arbitrator's decision shall be final and binding on the parties and may be entered as a judgment in any court of competent jurisdiction.

10.3 Class Action Waiver

YOU AND MOD PIZZA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.

10.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Additionally, you may assert individual claims in small claims court if your claims qualify under applicable small claims court rules.

10.5 Arbitration Fees

The allocation of arbitration fees and costs shall be governed by the AAA Consumer Arbitration Rules. If the arbitrator determines that your claims are frivolous or brought in bad faith, the arbitrator may award attorneys' fees and costs to Mod Pizza.


11. Term and Termination

11.1 Term

These Terms shall remain in full force and effect for as long as you access or use the Site or our services. Certain provisions of these Terms, by their nature, shall survive termination, including but not limited to provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

11.2 Termination by You

Mod Pizza shall not be liable for any failure or delay in performance under these Terms to the extent caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions, labor disputes, supply chain disruptions, power outages, internet service disruptions, terrorism, civil unrest, or any other force majeure event. In such circumstances, our obligations shall be suspended for the duration of the force majeure event.
